1. Acceptance of terms.

This service, Forgetly.com (reffered to as “Service” or “Site” in these Terms and Conditions) is owned and operated by DoneSquare Ltd, (Company No. 095075534), 20-22 Wenlock Road, N1 7GU, London, Great Britain (reffered to as “we” or “us”). By using this service, you (referred to as “user”) agree to these Terms and Conditions. If you disagree with any part of these terms you should not access the Service.

2. The Service.

Forgetly.com is productivity tool that organises internet links and personal notes into clips (or Content). Clips are sent back to user in form of reminders. Clips are organised into categories, with ability to filter and search. We grant access to this service through software being part of the Service. The Service is provided solely for personal use. All technologies (including, without limitation, website, bookmarklet, software, application and service) are provided “as is” and “as available” with all possible faults. We do not give warranty of any kind that the Service and Content will be available or uninterrupted. We reserve the right to change and update the Service at any time without prior notice. Use reproduction, modification or distribution of Content for other purpose than using the service is prohibited. You need internet access on any device you want to use this service and access the Content. You only can only access Content through interfaces provided by DoneSquare Ltd.

User should not: (i) attempt to temper, scan or test vulnerability of Service, or try to breach any security measures; (ii) attempt to access the Service using software or mechanisms like robots, crawlers, data-mining tools; (iii) interfere with access to Service infrastructure, including, without limitation, sending malicious content, virus, flooding or spamming;

User is responsible for use of the Service. We are not responsible for any use of User’s Content. User Content may be used by us or our partners for the purpose of Service operation .

3. Intellectual property.

All information available through this site is protected by proprietary rights. You agree not to copy, distribute, modify, reproduce, transfer or sell any of the intellectual property including, but not limited to, text, graphics, Service logo, code and any other derivative work. Use may provide feedback to the Service, including, but not limited to, comments, ideas or suggestions in regards to the Service. Such information shall be deemed as non-confidential and may be used by Us for any purpose, including but not limited to development of services and products.

4. Third party websites.

Our Service may contain links to third-party web sites or services that are not owned or controlled by us. We also participate in marketing campaigns offering links to third party sites. We have no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

5. Termination.

We reserves the right to terminate your access to the Service at any time with or without prior notice for any reason. If you wish to terminate this Agreement you may stop using the Service.

6. Security.

You need to obtain valid Forgetly.com account to use the Service. To obtain such account you need to provide your email address and secure password. You should provide accurate, actual and accessible email address by you. Combination of email address and passwords grants access to Service. You are responsible for keeping your email private and up to date, as well as maintaining secure password.

You should notify us about any unauthorized access to your Account or any other security breaching activity. To keep your Content secure, you need to ensure that you logout properly from any device that you access your Content from after finishing session.

We accept no responsibility or liability for any loss or damage on your account, due to lack of compliance with this section. Any person registering for Service, must be at least 13 years old.

We reserve right to verify validity of email address and your age and to refuse access to the service. If you provide untrue information, your account may be suspended.

DoneSquare Ltd does put an effort to protect all your private information, however we do not give guarantee that unauthorized parties will not be able defeat our security.

7. Payments and Fees.

User may use optional premium paid services through the Service. By using such services you agree to pay DoneSquare Ltd the monthly or annual subscription fees for that services. Payments will be charged upfront for specified period of time. Premium service fees are not refundable.

8. Limitation of liability.

There are always risks related to using internet links, therefore your use of the Service is at your own risk. Neither DoneSquare Ltd, its partners, affiliates or employees should be liable for any damage, including but not limited to, loss of data, financial loss, even if We have been informed of such possibility.

9. Privacy.

Service privacy policy if available under “Privacy Policy” section of the Service. We recommend that you review our Privacy Policy.

10. Assignment.

User may not assign this Agreement without our written consent. Any attempted assignment without consent will be null and void.

11. Modifications and Changes.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we decide to do so we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

12. Governing Law.

These Terms shall be governed and construed in accordance with the laws of United Kingdom, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
